Terms of service

These terms set out a binding agreement for use of the service. They are a practical summary, not individual legal advice. Have qualified counsel review and adapt them for your entity, jurisdictions, and product. Related policies: privacy, affiliate disclosure.

1) Agreement

By accessing or using the WEM website, applications, and associated services (the "Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2) Service description

WEM offers product discovery, content, outbound links to third-party retailers, and—where enabled—Web3-related features (such as wallet connectivity, rewards, or on-chain transactions). The Service is provided on an "as available" and "as is" basis. Features may differ by region, program approval, and rollout stage. We may modify, suspend, or discontinue any part of the Service with or without notice when reasonable for security, legal compliance, or operations.

3) Third parties, retail, and pricing

For purchases on external sites, the retailer’s terms, shipping, returns, and privacy practices apply. Prices, availability, fees, and taxes shown on or through WEM (including "indicative" or estimated values) are informational and may be incomplete, delayed, or incorrect. Always confirm final price, fees, and product details on the merchant’s checkout. Product images and descriptions are often provided by third-party APIs or feeds; we do not guarantee accuracy or that imagery matches every variant.

WEM may earn fees from affiliate or partner programs when you use certain outbound links. That does not typically increase the price you pay. See the affiliate and monetization disclosure.

4) Accounts, eligibility, and security

You must provide accurate information and keep your credentials, wallet, and devices secure. You are responsible for activity that occurs under your account or connected wallet, except where we are clearly at fault. You may not use the Service to break the law, abuse others, scrape or overload systems, or interfere with the Service (including by attempting to manipulate affiliate attribution or rewards).

5) Rewards, tokens, and on-chain features

If offered, token rewards, staking, referrals, airdrops, and similar programs are subject to additional rules, eligibility, caps, and anti-abuse controls. Rewards may be delayed, adjusted, or reversed where permitted by the program. Digital assets are volatile. Nothing on the Service is investment, tax, or legal advice. You are solely responsible for compliance with the laws of your jurisdiction, including reporting and taxes.

6) Intellectual property

WEM, its branding, and its original content (excluding third-party product data) are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for personal, non-commercial use unless we agree otherwise. You may not copy, resell, reverse engineer, or misappropriate the Service, except as allowed by mandatory law.

7) Disclaimers

To the maximum extent permitted by law, the Service and all information are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that defects will be corrected. Your use of third-party services and on-chain systems is at your own risk.

8) Limitation of liability

To the maximum extent permitted by law, WEM and its team, partners, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from the Service or any linked site. To the maximum extent permitted by law, our total liability for any claim related to the Service in any twelve-month period is the greater of (a) the amount you paid us in fees for the Service in that period (if any) or (b) one hundred U.S. dollars (USD 100). Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent allowed.

9) Indemnity

You will defend, indemnify, and hold harmless WEM and its affiliates, officers, and partners from third-party claims, damages, and costs (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms, except to the extent caused by our willful misconduct.

10) Governing law and disputes

You agree to try to resolve disputes in good faith by contacting us first. If informal resolution fails, these Terms are governed by the laws chosen for the operating entity (to be set by your counsel), without regard to conflict-of-law rules. Courts in the selected venue will have exclusive jurisdiction, unless applicable consumer law in your place of residence gives you a mandatory right to sue elsewhere.

Replace the jurisdiction clause above with the company’s actual governing law and venue when you incorporate.

11) Open-source, forks, and APIs

The Service may be built in whole or in part on open-source software, subject to their respective licenses. You must comply with those licenses when you use, copy, or distribute the corresponding software. If we provide APIs or webhooks, additional technical and use restrictions may apply; misuse may result in suspension of access.

12) Changes to these terms

We may post updated Terms on this page. If changes are material, we will use reasonable means to give notice (for example, a site banner or email where we have your address). Continued use after the effective date constitutes acceptance, except where the law requires explicit consent.
